1. Agreement to Terms
These Terms of Service govern your use of ReplyQ, operated by Signum Solutions Private Limited ("ReplyQ", "we", "our", or "us"). By using ReplyQ's AI-powered customer service platform for WhatsApp, you agree to these Terms of Service. If you disagree, you may not use the Service.
2. Service Description
ReplyQ provides:
- AI-powered message responses via OpenAI
- WhatsApp Business API integration
- FAQ knowledge base management
- Conversation management
- Analytics and reporting
3. Automated AI Responses
Important: No Human Review
ReplyQ AI sends responses to your customers automatically without human review. You acknowledge and accept that:
- AI responses may contain errors, inaccuracies, or inappropriate content
- AI may misunderstand customer queries or provide incorrect information
- AI-generated responses are sent immediately in your business's name
3.1 Your Responsibility
You are solely responsible for:
- All AI-generated responses sent to your customers
- Training AI with accurate FAQ data and business context
- Monitoring conversation quality and customer satisfaction
- Compliance with industry regulations (medical, financial, legal advice)
- Disabling AI for high-risk or regulated communications
3.2 ReplyQ Liability
We are NOT liable for:
- Consequences of AI-generated responses (customer disputes, business losses, regulatory violations, reputational damage)
- Accuracy, completeness, or appropriateness of AI outputs
- Customer expectations or satisfaction with AI interactions
3.3 Quality Controls
We implement validation systems to detect inappropriate responses, but these are not foolproof. If validation fails, the conversation may be flagged for review but automated responses will continue unless you disable AI.
4. AI Quality & Limitations
AI-generated responses are probabilistic and may:
- Contain factual errors or "hallucinations"
- Misunderstand customer intent
- Provide outdated or incorrect information
- Generate inappropriate or off-brand responses
- Violate industry regulations if not properly configured
ReplyQ implements validation systems to reduce errors, but we cannot guarantee accuracy. You acknowledge that:
- AI quality depends on your FAQ data quality
- You must monitor conversations and customer satisfaction
- You must disable AI for regulated communications (medical, legal, financial)
- You are solely responsible for customer disputes arising from AI errors
Example Risks:
- Healthcare: AI provides wrong medical advice
- Finance: AI gives incorrect pricing or terms
- Legal: AI makes promises you cannot fulfill
- Regulated industries: AI violates compliance requirements
If your industry has strict accuracy requirements, you should implement human review workflows or disable automated AI responses.
5. Service Availability (Beta/MVP)
No Service Level Agreement
ReplyQ is currently in beta/MVP stage. We do not guarantee:
- Uptime or availability
- Response time for AI-generated replies
- WhatsApp API rate limit handling
- Message delivery success rates
We will use commercially reasonable efforts to maintain service reliability, but you acknowledge that service interruptions may occur without notice or compensation.
Service credits, refunds, or damages for downtime are not available except as required by law.
6. Account Requirements
To use our Service, you must:
- Be at least 18 years old
- Provide accurate registration information
- Maintain account security
- Have a valid WhatsApp Business account
- Comply with WhatsApp Business Terms of Service and WhatsApp Business Policy
ReplyQ integrates with WhatsApp Business Platform. You are responsible for your WhatsApp account compliance and ensuring your use of ReplyQ complies with Meta's policies.
7. Subscription and Payment
7.1 Billing
- Subscriptions billed monthly or annually in advance
- Fees in Singapore Dollars (SGD) unless stated
- All prices displayed are tax-inclusive (including GST, VAT, or applicable sales tax)
7.2 Taxes
All fees displayed on our website and pricing pages include applicable taxes (GST, VAT, sales tax).
- Singapore customers: 9% GST is already included in displayed prices
- International customers: Prices include applicable taxes based on your location
7.3 Refunds
Subscription fees are non-refundable except as required by law.
7.4 Payment Failures
If payment fails, your account will be suspended. During suspension:
- Service features will be disabled (messaging, AI responses)
- Admin access remains available to update payment information and export data
- Your data will be preserved for a reasonable period to allow you to update payment details
- You can reactivate your account by updating your payment method
Accounts that remain suspended beyond our data retention period may be permanently deleted. You may request deletion at any time through account settings.
8. Acceptable Use
You agree NOT to:
- Violate any laws or regulations
- Send spam or unsolicited messages
- Transmit malicious code
- Impersonate others
- Violate WhatsApp's Terms of Service
- Use for illegal purposes
- Resell without permission
9. Intellectual Property
9.1 Our Property
The Service and its content are owned by ReplyQ and protected by international intellectual property laws.
9.2 Your Content
You retain ownership of content you submit. By using the Service, you grant us a license to use, store, and process your content to provide the Service.
9.3 AI-Generated Content
Responses generated by ReplyQ AI are provided to you without restriction. You may use, modify, and distribute AI-generated content freely. However, we do not guarantee AI outputs are free from third-party IP claims (see Section 4 AI Quality & Limitations).
9.4 AI Model Ownership
Custom AI models created from your data are your intellectual property. Upon termination or if you disable fine-tuning, we delete your fine-tuned models within 30 days.
10. Data Processing & AI Services
By using our Service, you acknowledge and agree to the following:
10.1 Data Processing
- We process data according to our Privacy Policy and applicable data protection laws
- You warrant that you have obtained all necessary consents from your customers for data collection and processing
- You are responsible for compliance with applicable data protection laws (PDPA, GDPR, CCPA, etc.)
- You remain the Data Controller for end-customer message data; we act as Data Processor
10.2 WhatsApp Business Integration
- When connecting your WhatsApp Business account, historical message data and contact information may be synced to enable AI-powered responses and service provision
- You authorize us to access and process your WhatsApp Business data as necessary to provide the Service
- You are responsible for complying with WhatsApp's Business Terms and WhatsApp's Business Policy
- You are responsible for obtaining necessary customer consents for data processing
- You consent to synced data being used for service provision and AI processing
10.3 AI-Powered Services
- AI Processing: Your conversation history and business data may be processed using artificial intelligence to improve service quality and response accuracy for your business
- Data Isolation: Your data is isolated from other businesses and never shared between accounts
- Third-Party Providers: AI processing is performed using third-party AI service providers. See our Privacy Policy for details on data handling
- Required Feature: AI processing is a core component of the Service. Consent is obtained during account setup.
10.4 Your Responsibilities and Acknowledgments
You acknowledge and agree that:
- Automated AI Processing: The Service uses artificial intelligence to automatically generate and send responses to your customers without human review or intervention
- AI Training: Your customer conversation data is processed and used to improve AI performance specific to your business
- No Human Review: Messages are sent automatically based on AI analysis without manual verification
Your Legal Obligations:
- You are solely responsible for compliance with all applicable laws in your jurisdiction, including but not limited to data protection laws (GDPR, PDPA, CCPA), consumer protection laws, and AI disclosure requirements
- You must maintain appropriate privacy policies, terms of service, and customer notices as required by law in the jurisdictions where you operate
- You are responsible for determining whether your jurisdiction requires disclosure of automated messaging or AI to your customers, and for making such disclosures if required
- You must ensure you have obtained all necessary rights, consents, and permissions from your customers to process their data using our Service
- You should consult with legal counsel regarding disclosure requirements specific to your jurisdiction and business operations
Indemnification:
You agree to indemnify and hold ReplyQ harmless from any claims, damages, or liabilities arising from your failure to comply with applicable disclosure requirements or to obtain necessary customer consents in your jurisdiction.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REPLYQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
Our total liability shall not exceed the amount you paid in the twelve (12) months preceding the claim.
12. Customer Indemnification
You will indemnify, defend, and hold harmless ReplyQ, its affiliates, officers, directors, employees, and agents from and against any and all third-party claims, damages, losses, costs, liabilities, and expenses (including reasonable attorneys' fees) arising from or relating to:
- AI-generated responses sent to your customers
- Your Content, FAQs, or business context provided to the AI
- Your violation of these Terms or applicable laws
- Your violation of WhatsApp Terms or policies
- Claims by your customers regarding AI interactions
- Regulatory investigations or fines related to your use of the Service
This indemnification survives termination of your account.
13. Force Majeure
Neither party shall be liable for failure to perform due to causes beyond reasonable control, including: acts of God, government restrictions, epidemics, telecommunications failures, third-party service outages (including Meta/WhatsApp, OpenAI, AWS), natural disasters, or labor disputes.
14. Termination
14.1 By You
You may terminate your account at any time through account settings.
14.2 By Us
We may suspend or terminate your account for violations or non-payment.
14.3 Effect of Termination
Upon termination:
- Service access ceases immediately
- Your data (excluding financial records) is deleted from active systems within 30 days
- Backup copies are purged within 90 days according to our retention schedule
- Financial records retained for 7 years as required by Singapore law
15. Assignment
You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms to a successor entity in connection with a merger, acquisition, or sale of assets, provided the successor agrees to honor these Terms. You will be notified of any such assignment.
16. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force, and the invalid provision shall be modified to achieve the intended effect to the extent permitted by law.
17. Governing Law
These Terms are governed by Singapore law. Disputes shall be resolved through arbitration in Singapore under SIAC rules.
18. Changes to Terms
We may modify these Terms. Material changes will be notified via email or through the Service with 30 days notice. Continued use after changes take effect constitutes acceptance.
